THESE TERMS INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS, DISCLAIMERS OF WARRANTIES, INDEMNIFICATION OBLIGATIONS, AND A BINDING ARBITRATION AGREEMENT.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") are entered into by and between you ("you" or "Subscriber") and Ideasicle X, LLC ("Company", "we", "us", or "our"). These Terms govern your access to and use of IX Spark ("Spark" or the "Service"), our AI-powered creative ideation platform accessible at [spark URL] and through our application interface (collectively, the "Platform").
By accessing, subscribing to, or using Spark, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use Spark.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. DESCRIPTION OF SERVICE
Spark is an AI-powered creative ideation platform that generates creative ideas, concepts, strategic recommendations, and other content ("AI-Generated Content") in response to user prompts and inputs ("User Inputs"). Spark utilizes artificial intelligence, machine learning models, and large language models (including third-party AI services) to produce AI-Generated Content.
You acknowledge and agree that:
Spark is an experimental AI tool designed to assist with creative ideation and brainstorming
AI-Generated Content is produced by algorithms and does not represent human expertise, professional judgment, or verified information
The Service is intended as a creative assistance tool only and should not be relied upon as a substitute for professional advice, human judgment, or independent verification
We make no representations or warranties regarding the accuracy, reliability, completeness, currentness, or quality of any AI-Generated Content
3. CRITICAL AI-SPECIFIC DISCLAIMERS
3.1 No Guarantee of Accuracy or Quality
AI-GENERATED CONTENT MAY BE INACCURATE, INCOMPLETE, BIASED, OUTDATED, OFFENSIVE, OR ENTIRELY FICTIONAL. Artificial intelligence systems can produce content that appears plausible but is factually incorrect (commonly known as "hallucinations"), contains biases from training data, or misinterprets your User Inputs.
YOU USE ALL AI-GENERATED CONTENT AT YOUR OWN RISK. You are solely responsible for evaluating, verifying, and validating any AI-Generated Content before relying on it, implementing it, or sharing it with others.
3.2 Not Professional Advice
SPARK DOES NOT PROVIDE PROFESSIONAL ADVICE of any kind, including but not limited to:
Legal advice or legal opinions
Business strategy or consulting advice
Financial, investment, or accounting advice
Marketing strategy requiring professional expertise
Medical, health, or safety advice
Technical or engineering specifications
Any advice requiring professional licensing or certification
AI-Generated Content is for informational and creative brainstorming purposes only. You should always consult with qualified professionals before making business decisions, implementing strategies, or taking action based on AI-Generated Content.
3.3 No Endorsement of AI-Generated Content
The Company does not endorse, verify, approve, or take responsibility for any AI-Generated Content produced by Spark. The fact that Spark generates certain content does not mean we recommend, support, or stand behind that content. We are merely providing you with access to an AI tool; we are not vouching for the quality, accuracy, legality, or appropriateness of what that tool produces.
3.4 Potential for Offensive or Inappropriate Content
Despite our efforts to implement content filters and safety measures, AI-Generated Content may occasionally contain material that is offensive, inappropriate, discriminatory, biased, or otherwise objectionable. AI systems can reflect biases present in their training data and may produce unexpected or unwanted outputs.
We are not responsible for offensive, inappropriate, or harmful AI-Generated Content. If you encounter such content, we encourage you to report it to us, but we are under no obligation to review, filter, or remove all problematic content in real-time.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership of AI-Generated Content
Subject to Section 4.3 below, you own all AI-Generated Content produced by Spark in response to your User Inputs (the "Output"). We assign to you all of our right, title, and interest in and to the Output, except as limited by Section 4.3. This means you may use, modify, distribute, and commercialize the Output as you see fit.
4.2 Ownership of User Inputs
You retain all ownership rights in your User Inputs. By submitting User Inputs to Spark, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your User Inputs solely for the purposes of: (a) operating and providing the Service to you; (b) improving and developing the Service; (c) enforcing these Terms; and (d) complying with applicable law.
4.3 Limitations on Output Ownership
Your ownership of Output is subject to the following limitations:
Third-Party Rights: If Output incorporates or is based on third-party intellectual property, trademarks, copyrighted material, or other protected content, you may not own such third-party elements. You are solely responsible for ensuring your use of Output does not infringe third-party rights.
Non-Unique Output: AI systems can generate similar or identical outputs for different users given similar prompts. We cannot guarantee that Output generated for you is unique or has not been or will not be generated for other users. You acknowledge that other users may receive substantially similar Output.
Publicly Available Information: Output may be based on or incorporate publicly available information, general knowledge, or common ideas that are not protectable under intellectual property law.
4.4 Company Intellectual Property
The Platform, including its software, algorithms, user interface, features, functionality, and the underlying AI models and technology, are owned by the Company and our licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any rights to our trademarks, service marks, logos, or brand elements. You may not use our intellectual property without our prior written consent.
5. ACCEPTABLE USE POLICY
5.1 Prohibited Uses
You agree not to use Spark or the Platform to:
Generate content that violates any applicable law or regulation
Create content intended to harm, harass, threaten, defame, or discriminate against any individual or group
Generate misleading, false, or deceptive content intended to defraud others
Create content that infringes or misappropriates third-party intellectual property rights
Generate spam, malware, viruses, or other harmful computer code
Attempt to reverse engineer, decompile, or discover the source code of the AI models or Platform
Circumvent any security features, access controls, or usage limitations of the Service
Use the Service to compete with us or develop a competing product
Input confidential information of third parties without authorization
Generate content for illegal purposes, including but not limited to creating fraudulent documents, impersonation, or illegal marketing schemes
Systematically extract or scrape data from the Platform
Share your account credentials or allow unauthorized access to your account
Use automated systems (bots, scripts) to access the Service except as explicitly permitted
5.2 Content Filters
We implement content filters and safety measures designed to prevent the generation of harmful, illegal, or inappropriate content. However, these filters are not perfect and may not catch all problematic content. You agree not to attempt to bypass, circumvent, or disable our content filters or safety measures.
5.3 Enforcement
We reserve the right to investigate any suspected violation of these Terms. If we determine, in our sole discretion, that you have violated these Terms, we may:
Suspend or terminate your access to Spark
Remove or refuse to generate certain content
Report violations to law enforcement authorities
Take any other action we deem appropriate
6. SUBSCRIPTION AND PAYMENT TERMS
6.1 Subscription Plans
Spark is available through paid subscription plans ("Subscriptions"). Current Subscription options, features, and pricing are available on our pricing page and may be changed at any time at our sole discretion.
6.2 Payment and Billing
By purchasing a Subscription, you agree to pay all fees and charges associated with your Subscription at the rates in effect when charges are incurred. We will automatically bill your payment method on file at the beginning of each billing cycle (monthly, annually, or other agreed term).
All fees are in U.S. dollars and are non-refundable except as specifically provided in Section 6.4 below. You are responsible for providing accurate and complete payment information and for updating such information promptly if it changes.
6.3 Renewal and Cancellation
Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. We will notify you of upcoming renewals at least 15 days in advance (except as otherwise required by law).
You may cancel your Subscription at any time through your account settings or by contacting us at [support email]. Cancellation will be effective at the end of your current billing cycle. You will retain access to Spark through the end of your paid period.
6.4 Refund Policy
All Subscription fees are generally non-refundable. We may, in our sole discretion, issue refunds or credits on a case-by-case basis, but we are under no obligation to do so.
If we terminate your Subscription for reasons other than a violation of these Terms, we will issue a pro-rated refund for the unused portion of your Subscription period.
Chargebacks: Initiating a chargeback for any fees you owe us is a material breach of these Terms. If you initiate a chargeback in violation of these Terms, you agree that we may dispute the chargeback, pursue collection action, suspend or terminate your account, and take any other action we deem appropriate. You will be responsible for all costs we incur in connection with an improper chargeback, including legal fees.
6.5 Changes to Pricing
We reserve the right to change our pricing and fees at any time. If we increase the price of your Subscription, we will notify you at least 30 days before the increase takes effect. The price increase will apply to your next renewal unless you cancel your Subscription before the renewal date.
7. DATA USAGE AND PRIVACY
7.1 Data Collection
Our collection, use, and protection of your personal information is governed by our Privacy Policy. By using Spark, you consent to our data practices as described in the Privacy Policy.
7.2 Use of User Inputs for AI Training
We may use your User Inputs and related usage data to improve, train, and develop our AI models and the Service. This may include using your inputs as training data for machine learning systems. We will not include your personally identifiable information in training data without your consent, but prompts, queries, and anonymized usage patterns may be used to improve the Service.
If you do not want your User Inputs used for AI training purposes, please contact us at [email] to opt out. Note that opting out may limit some functionality of the Service.
7.3 Third-Party AI Services
Spark may utilize third-party AI services, APIs, and models (such as OpenAI, Anthropic, Google, or others) to generate content. When you use Spark, your User Inputs may be transmitted to these third-party services for processing. We are not responsible for the data practices of third-party AI providers. We encourage you to review the privacy policies and terms of service of such third-party providers.
You should not input highly sensitive, confidential, or proprietary information into Spark if you do not want it transmitted to third-party AI services.
7.4 Confidentiality
While we take reasonable measures to protect your data, you acknowledge that no transmission over the internet is 100% secure. You use Spark at your own risk with respect to the confidentiality of your User Inputs.
Do not input trade secrets, highly confidential business information, personal health information, financial account information, or other highly sensitive data into Spark unless you are comfortable with the risk that such information may be exposed.
8. SERVICE AVAILABILITY AND MODIFICATIONS
8.1 No Guarantee of Availability
We strive to provide reliable access to Spark, but we do not guarantee that the Service will be available at all times or without interruption. Spark may experience downtime, outages, degraded performance, or limitations due to:
Scheduled maintenance
Technical difficulties
Third-party service interruptions (including AI API provider outages)
Security incidents
High usage volumes
Other factors beyond our control
We are not liable for any damages arising from service interruptions, unavailability, or performance issues.
8.2 Modifications to the Service
We reserve the right to modify, suspend, or discontinue any aspect of Spark at any time, with or without notice. This includes adding or removing features, changing how the AI models operate, imposing usage limits, or discontinuing the Service entirely.
We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
8.3 Usage Limits
We may impose usage limits on your use of Spark, including limits on:
Number of prompts or queries per month
Length or complexity of User Inputs
Volume of Output generated
API calls or requests (if applicable)
Storage of Output or User Inputs
Usage limits will be communicated through your Subscription plan details and may be changed at our discretion. Excessive use beyond your plan limits may result in additional charges, throttling, or service interruption.
9. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY LAW, SPARK AND ALL AI-GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Service will be uninterrupted, secure, or error-free
Warranties that AI-Generated Content will be accurate, reliable, complete, current, or useful
Warranties that the Service will meet your requirements or expectations
Warranties that defects or errors will be corrected
Warranties that the Service or servers are free from viruses or harmful components
YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF SPARK AND ANY AI-GENERATED CONTENT. Any material, information, or output obtained through Spark is obtained at your own discretion and risk, and you will be solely responsible for any damages resulting from such use.
WE MAKE NO WARRANTY THAT:
AI-Generated Content is original, non-infringing, or free from plagiarism
AI-Generated Content is suitable for your intended purpose
Output will be unique or not generated for other users
The AI will correctly understand or respond to your User Inputs
The Service will be compatible with your systems or devices

10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, LICENSORS, AI TECHNOLOGY PROVIDERS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO:
Your use of or inability to use Spark
Any AI-Generated Content, including inaccurate, misleading, offensive, or harmful content
Reliance on any AI-Generated Content for business decisions, implementations, or strategies
Use of Output that infringes third-party intellectual property rights
Financial losses resulting from use of the Service or AI-Generated Content
Business interruption or loss of data
Security breaches or unauthorized access to your account
Service outages, errors, or unavailability
Changes to or discontinuation of the Service
Any other matter related to Spark or these Terms

Your use of Spark or the Platform
Your violation of these Terms
Your User Inputs, including any claim that your User Inputs infringe or misappropriate third-party rights
Your use, distribution, or commercialization of AI-Generated Content (Output), including any claims of infringement, defamation, or other wrongdoing arising from your use of Output
Any harm caused by content you create, distribute, or publish using or incorporating AI-Generated Content
Business decisions, implementations, or strategies based on AI-Generated Content
Your violation of any law or regulation
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
Any claim by a third party that was harmed by AI-Generated Content you used, shared, or implemented
This indemnification obligation survives the termination of these Terms and your use of Spark.

12. THIRD-PARTY AI SERVICES
Spark utilizes third-party artificial intelligence services, APIs, and large language models ("Third-Party AI Services") to generate content. These may include, but are not limited to, services provided by OpenAI, Anthropic, Google, Microsoft, and other AI technology companies.
You acknowledge and agree that:
We are not responsible for the performance, accuracy, availability, or security practices of Third-Party AI Services
Your User Inputs may be transmitted to and processed by Third-Party AI Services
Third-Party AI Services have their own terms of service and privacy policies that may apply to your use
We do not control or endorse Third-Party AI Services or the content they generate
Interruptions or changes to Third-Party AI Services may affect Spark's functionality
We may change or replace Third-Party AI Services at any time without notice
You are responsible for reviewing and complying with the terms of service and acceptable use policies of any Third-Party AI Services whose content or technology is incorporated into Spark. Violations of third-party terms may result in termination of your access to Spark.
13. COPYRIGHT AND INTELLECTUAL PROPERTY
13.1 Your Responsibility
You are solely responsible for ensuring that your use of AI-Generated Content does not infringe third-party intellectual property rights. While AI is designed to generate new content, it may occasionally produce output that is substantially similar to existing copyrighted works, trademarked phrases, or other protected material.
Before using, publishing, or commercializing Output, you must conduct your own independent review to ensure:
The Output does not infringe copyrights, trademarks, patents, or trade secrets
The Output does not violate publicity or privacy rights
The Output does not constitute plagiarism
The Output is appropriate for your intended use
13.2 DMCA Notice and Takedown
If you believe that any content on the Platform infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing:

Identification of the copyrighted work claimed to have been infringed
Identification of the allegedly infringing material and information sufficient to locate it

13.3 Repeat Infringer Policy
We maintain a policy of terminating accounts of users who are repeat infringers of intellectual property rights.
14. ACCOUNT SECURITY AND RESPONSIBILITY
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
Use a strong, unique password
Not share your account credentials with others
Notify us immediately of any unauthorized access or security breach
Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, non-payment, or any other reason in our sole discretion.
15. EXPORT CONTROLS
The Platform and underlying AI technology may be subject to U.S. export control laws. You represent and warrant that you are not located in an embargoed country, are not on any U.S. government prohibited parties list, and will comply with all applicable export control laws.
16. CHANGES TO THESE TERMS
We may modify these Terms at any time. Changes become effective immediately upon posting. Your continued use of Spark after changes constitutes acceptance. If you disagree with modified Terms, discontinue use and cancel your Subscription.
17. GOVERNING LAW
These Terms shall be governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts in Massachusetts.
18. DISPUTE RESOLUTION AND ARBITRATION
18.1 Mandatory Arbitration
Except as provided below, you and the Company agree that any dispute shall be resolved through binding arbitration rather than in court. By agreeing to these Terms, you waive your right to a trial by jury and to participate in any class action.
18.2 Arbitration Procedure
Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single neutral arbitrator applying Massachusetts law. Each party bears its own costs unless the arbitrator awards costs to the prevailing party.
18.3 Class Action Waiver
YOU AND THE COMPANY AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Either party may seek injunctive relief in court for intellectual property matters or bring claims in small claims court.
19. LIMITATION ON TIME TO FILE CLAIMS
Any claim must be filed within one (1) year after the claim arose, or it is permanently barred.
20. MISCELLANEOUS
20.1 Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and the Company regarding Spark.
20.2 Severability
If any provision is found invalid, it shall be modified or severed, and the remaining provisions continue in full force.
20.3 Assignment
You may not assign these Terms without our consent. We may assign these Terms at any time.
20.4 No Partnership
These Terms do not create any partnership, joint venture, or agency relationship.
