Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you or the company you represent ("Client," "you") and Ideasicle X LLC ("Ideasicle X," "we," "us," or "our"), governing your engagement of IX Concierge, our full-service creative ideation offering, through ideasiclex.com or a related proposal or invoice.

By signing a proposal, submitting a deposit, or otherwise engaging IX Concierge, you agree to these Terms. If you are engaging us on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

2. The IX Concierge Service

IX Concierge is a full-service engagement in which Ideasicle X:

• Reviews the creative brief you provide;
• Hand-picks a team of four pre-vetted Ideasicle Experts suited to your project;
• Runs the project end-to-end using our proprietary virtual ideation platform (IX App); and
• Delivers two rounds of 10 or more polished creative ideas, the first typically within one week of project kickoff.

Current published pricing is $18,000 for one round and $30,000 for two rounds; final scope, timeline, and pricing for your project are as stated in your signed proposal or invoice, which is incorporated into these Terms by reference.

We may adjust the IX Concierge process, roster, or pricing for future engagements at any time; changes do not apply retroactively to a project you have already engaged and paid a deposit for.

3. Client Responsibilities

You agree to: (a) provide a clear, accurate creative brief and any background materials needed for the team to do its work; (b) respond to requests for clarification or feedback in a timely manner so the project can stay on schedule; (c) ensure you have the right to share any brand, product, or business information included in your brief; and (d) designate a single point of contact authorized to approve deliverables and, where applicable, request the second round.

4. Fees and Payment

• Fees are as set out in your proposal or invoice. Unless otherwise agreed in writing, we bill 100% of the project up front with a 30 day payment expectation.
• Payment is processed via invoice from Quickbooks.
• Late payments may result in a pause of work or delayed delivery, and we reserve the right to charge interest on amounts more than 30 days overdue at the maximum rate permitted by law.
• Fees are exclusive of applicable taxes, which you are responsible for unless we are required by law to collect them.

5. Client Content and Confidentiality

You may share business information, brand materials, and creative briefs ("Client Content") with us. You represent that you have the right to share this information and that doing so does not infringe any third party's rights or violate a confidentiality obligation you owe to others.

We treat Client Content as confidential. We will not disclose it outside of the Ideasicle Experts and Ideasicle X personnel staffed on your project, except as needed to operate the virtual platform (e.g., hosting infrastructure) or as required by law. Ideasicle Experts engaged on your project are bound by confidentiality obligations with respect to your Client Content, and we will not use your Client Content for any other client's project.

6. Intellectual Property and Ownership of Deliverables

You retain ownership of the Client Content you provide. Subject to receipt of payment in full, Ideasicle X assigns to you all right, title, and interest in the specific creative ideas, concepts, and deliverables developed for your project ("Deliverables"). Until full payment is received, all Deliverables remain the property of Ideasicle X and are provided to you for internal evaluation purposes only.

The Ideasicle X name, logo, virtual ideation platform, proprietary methodology, and any pre-existing materials we bring to the engagement remain our property and are not transferred to you; you receive a license to use them only as necessary to receive and use the Deliverables.

7. Independent Contractor Status of Ideasicle Experts

The Ideasicle Experts staffed on your project are independent contractors, not employees or agents of Ideasicle X or of you. Ideasicle X curates and vouches for the experts it selects, but does not guarantee a specific creative outcome, business result, or market reception for any idea delivered.

8. Revisions and Additional Rounds

The scope of a first-round engagement is limited to the initial set of 10+ ideas described in your proposal. A second round, if purchased, addresses feedback on the first round within the agreed scope. Requests that go materially beyond the scope of your proposal (e.g., an unrelated brief, a new product line, or a third round) will be treated as a new engagement subject to a new proposal and fee.

9. Cancellation and Refunds

If you cancel a project after kickoff but before delivery of the first round of ideas, 1/3 of the billed amount is non-refundable to the extent they cover work already performed or team time already committed, unless otherwise stated in your proposal. If we are unable to deliver the agreed Deliverables due to our own fault, we will work with you in good faith on a remedy, which may include a partial refund or a revised timeline.

10. Disclaimers

THE IX CONCIERGE SERVICE AND ALL DELIVERABLES ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT ANY IDEA OR CAMPAIGN WILL ACHIEVE ANY PARTICULAR BUSINESS RESULT, SALES OUTCOME, OR MARKET RECEPTION.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IDEASICLE X AND ITS EXPERTS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR GOODWILL, ARISING FROM YOUR ENGAGEMENT OF IX CONCIERGE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO A PROJECT WILL NOT EXCEED THE TOTAL FEES YOU PAID FOR THAT PROJECT.

12. Indemnification

You agree to indemnify and hold Ideasicle X harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your Client Content, your use of Deliverables in a manner that violates law or a third party's rights, or your breach of these Terms.

13. Term and Termination

These Terms apply for the duration of your IX Concierge engagement and survive with respect to intellectual property, confidentiality, disclaimers, limitation of liability, and dispute resolution after project completion or termination. We may pause or terminate a project for non-payment or a material breach of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. [Placeholder — confirm with counsel whether you want to add an arbitration clause and/or a venue clause specifying courts located in Massachusetts.]

15. Changes to These Terms

We may update these Terms from time to time. We will post the revised version with an updated "Last Updated" date; for an active engagement, the Terms in effect at the time your proposal was signed will continue to apply to that engagement unless we agree otherwise in writing.
